[SkyAI Announces Tender Offer at $3 Per Share, Rejects Forward Industries' Acquisition Proposal]
According to Deep Tide TechFlow on October 12, as reported by GlobeNewswire, SkyAI (Nasdaq: SKYA) announced plans to initiate a tender offer on October 15, 2026, to repurchase up to 95% of its outstanding common shares and various pre-funded warrants at a cash price of $3.00 per share/warrant. The maximum total acquisition amount is approximately $201 million. This price represents a 65% premium over the closing price on October 9 and more than a 100% premium over the 60-day volume-weighted average price. The tender offer period will last for 10 business days, with conditions including a minimum of 50% of shares being validly tendered and the price of SOL remaining above $100 during the offer period. The company plans to fund the purchase with cash and proceeds from the sale of SOL, currently holding approximately 1 million SOL tokens.
Meanwhile, the SkyAI Board of Directors has rejected Forward Industries' proposal to acquire the company through a stock swap of 0.306 shares of FWDI per SkyAI share, stating that the proposal undervalues the company and does not align with the interests of its shareholders.
