[CoreWeave Plans to Issue Up to $3.5 Billion in Convertible Bonds]
According to Business Wire, CoreWeave (NASDAQ: CRWV) announced plans to privately issue a total of $3 billion in convertible senior notes due 2033, with an option to grant initial purchasers an additional $500 million in over-allotments. The new notes will be senior unsecured obligations guaranteed by the company and its wholly-owned subsidiaries, maturing on April 1, 2033. Under certain conditions, the notes can be converted into CoreWeave Class A common stock, cash, or a combination thereof. The specific interest rate and initial conversion price will be determined at the time of pricing. The company plans to use part of the proceeds to cover the cost of capped call transactions related to this issuance, with the remainder allocated for general corporate purposes.
