According to Wu Blockchain, Robinhood co-founder and CEO Vlad Tenev stated that public companies should control the rights attached to their stocks but should not restrict every legitimate use of the stocks once acquired by investors. If tokenized products alter the underlying stock rights, replace the company’s official shareholder registry, or impose new obligations on the company and transfer agents, they should require the issuer’s consent. However, if they are independent financial instruments backed or referenced by freely transferable stocks without altering the issuer’s rights and obligations, issuer authorization should not be required. Robinhood Stock Tokens fall under the latter structure, backed 1:1 by underlying stocks, providing only economic exposure without changing the company’s equity structure or stock rights.
