[YZi Labs Issues Rectification Notice to 10X Capital, Warning BNC Shareholders of Its 'Disruptive Behavior']
According to official reports, YZi Labs, a major shareholder of CEA Industries, Inc. (NASDAQ: BNC), announced today that it has issued a formal rectification notice and demand to 10X Capital, the asset manager of BNC. The notice stems from 10X's mismanagement and lack of transparency regarding BNC's assets, as well as potential violations of the strategic service agreement signed between 10X and YZi Labs. The notice outlines substantial and potential breaches of contract, serious violations of fiduciary duties, and deficiencies in transparency and governance that YZi Labs believes exist on the part of 10X and its key executives.
The notice states that YZi Labs has received reliable information indicating that 10X has threatened to abandon BNC's BNB fund management strategy. Just three months ago, BNC had announced plans to utilize a $500 million PIPE investment to 'establish the company's BNB fund management business.' Agreements between 10X, the company, and YZi Labs stipulate that, under favorable market conditions, the majority of BNC's capital would be allocated to the BNB fund management strategy. However, company management has informed market participants of plans to abandon the BNB ecosystem in favor of investing in other cryptocurrencies such as Solana, thereby breaching commitments made to investors.
Additionally, the company's CEO and board members have been accused of conflicts of interest, failing to disclose critical information such as BNB holdings and share quantities, and refusing to amend allegedly unreasonable terms in the asset management agreement.
