Trump Media-Backed SPAC to Create Largest Public CRO Treasury Company
Yorkville Acquisition Corp. (Nasdaq: YORK), Trump Media & Technology Group (Nasdaq/NYSE Texas: DJT), and Crypto.com have entered a definitive merger agreement to launch Trump Media Group CRO Strategy, Inc., a digital asset treasury dedicated to the Cronos ecosystem’s CRO token.
The deal, structured as a SPAC business combination, will establish the largest public CRO treasury with $1 billion worth of CRO (6.3 billion tokens, or 19% of supply), alongside $200 million in cash and $220 million from warrant exercises. An additional $5 billion equity line of credit from Yorkville affiliate YA II PN, Ltd. provides further liquidity.

The new company’s shares will trade on Nasdaq under the ticker “MCGA” once the merger closes. Founding partners Yorkville, Trump Media, and Crypto.com have agreed to a one-year lock-up period on their shares, followed by a phased three-year release schedule.

Trump Media Group CRO Strategy plans to allocate substantially all reserves to CRO, run a validator node on the Cronos blockchain, and compound staking rewards to grow holdings over time. The structure reflects a shift toward ecosystem-aligned treasuries designed for long-term yield rather than traditional cash management.
