Do you really understand BNB Standard's bell-ringing? In-depth analysis of BNC
BNB Standard (BNC), holding over 510,000 binancecoin:native coins, rang the bell on Nasdaq on October 26th. This company can be understood as a Strategy (MSTR) in the BNB treasury space, raising funds through a publicly traded company to buy and hold BNB, allowing US stock investors to participate in BNB price fluctuations through stock trading.
BNC was formerly known as CEA Industries, originally engaged in environmental control equipment and e-cigarette retail. After completing a $500 million funding round led by YZi Labs in August 2025, it began implementing its BNB treasury strategy, and its stock ticker was changed to BNC. It officially changed its name to BNB Standard this September, so this bell-ringing ceremony celebrated the name change and the appointment of a new CEO, not a re-IPO.
In terms of asset size, according to disclosures at the end of July, the company held 515,544 BNB, accounting for approximately 92.4% of its total assets at that time (it also held a small amount of bitcoin:native and USDT). Slightly different from other treasury companies, BNC, holding a large amount of BNB, can generate revenue from the Binance ecosystem. Airdrops such as @binance's Launchpool and HODLer Airdrop contribute to BNC's earnings. In the most recent quarter, it confirmed $284,000 in airdrop revenue and $1.1 million in management fees. (The management fee issue will be discussed later.)
Historically, in the last fiscal year, it disclosed approximately $7.9 million in confirmed airdrops, some of which were converted into 4,932 BNB, worth approximately $5.8 million at the time of conversion. There was also a portion of airdrop revenue whose conversion was not explicitly stated. Personally, I recommend converting all airdrops into USD, and then converting the remainder after deducting management fees into BNB. This is because there were $5 million in management fees from the last fiscal year (approximately $4.6 million of which was paid, and approximately $400,000 remained unpaid as of the annual report settlement date).
Here's a bit of gossip: BNC's external asset manager, 10X Capital Partners LLC, was hired by BNC in 2025 when it launched its BNB treasury strategy to manage the assets of the BNB treasury. David Namdar, who initially served as BNC's CEO, was a senior partner at 10X, and another 10X founder, Hans Thomas, also previously served on BNC's board of directors.
According to the asset management agreement signed by both parties, 10X provides management and related services for BNC's digital asset treasury, and BNC charges management fees based on the value of the assets within the treasury strategy. The quarterly report discloses a fee rate of 1.4% annualized. At the project's inception, YZi and 10X also signed a separate strategic services agreement, under which YZi provides strategic consulting to 10X and receives a portion of 10X's management fees according to the agreement.
Later, a disagreement arose between the two parties. YZi stated that it had terminated the agreement in December 2025, and BNC also stated in March 2026 that 10X would no longer share revenue with YZi under the agreement. Now, BNC believes that the 10X fee rate, the 20-year term, and the early termination clause are detrimental to shareholders and has filed a lawsuit seeking to have the agreement declared invalid.
According to the most recent quarterly disclosure, BNC has not terminated the agreement and has suspended payments of invoiced management fees since April 10, 2026, but continues to accrue them.
Returning to the main point, although the management fee issue is not yet fully resolved, compared to other publicly listed companies, BNC already has a very clear profit plan. It not only has the support of the Binance ecosystem but also plans to operate BNB Chain validator nodes, which will also generate substantial revenue.
Of course, there are some points to note: according to the company's Dashboard price on October 26, BNC's mNAV is approximately 0.74, representing a discount of approximately 26% relative to its adjusted net asset value per share. This means the market is currently valuing the company below its disclosed adjusted net asset value.
In simpler terms, based on the holdings disclosed by the company at the end of July and the price on October 26th (Eastern Time afternoon), BNC's holdings of BNB are worth approximately $383 million, while BNC's market capitalization based on outstanding common stock is approximately $260 million. Judging from these two figures alone, the value of the company's BNB holdings is higher than the market capitalization of its shares.
In other words, assuming that the future BNB price, the company's balance sheet, and the diluted number of shares remain unchanged, and the market is willing to repric BNC from 0.74 times mNAV to 1 times, then the stock price has approximately 35% upside potential.
PS: Does anyone know why @cz_binance went to ring the bell at the opening bell?
According to the SEC shareholding filing submitted on September 21, 2026, YZi Labs holds 9,749,745 shares of BNC, representing approximately 20% of the common stock at that time. CZ is the sole director of YZi Labs Management Ltd., the entity that filed the application.
