[Musk Publicly States Potential Delay in SpaceX and Tesla Merger, Estimated Transaction Value Reaches $3.5 Trillion]
Deep Tide TechFlow reports that on October 22, according to Reuters, insiders revealed that Musk disclosed the progress of the SpaceX and Tesla merger evaluation during an investor conference call this week and publicly expressed his support. This move has unsettled some negotiation participants, potentially delaying talks by several weeks and triggering a longer legal review process.
During the meeting, Musk stated that the two companies are exploring what could become the largest corporate transaction in history and have established a special committee to evaluate the proposal. He also admitted that he has a conflict of interest and cannot participate in discussions related to the two special committees. The transaction remains in its early stages.
According to three insiders, both parties have hired advisors to discuss the transaction structure, which includes options such as SpaceX acquiring Tesla or merging the two companies through a newly established holding company. The consideration arrangement involves an all-stock transaction. Musk owns nearly one-fifth of Tesla's shares and slightly less than half of SpaceX's shares.
Negotiation participants are concerned that Musk's public statements may lead investors to question the independence of the special committees and focus more on how conflicts of interest are being handled.
