[Meta and Zuckerberg Reach Agreement: Non-Voting Shares Granted to Address California Wealth Tax, in Exchange for 8-Year Residency]
According to Reuters, Meta announced an agreement with CEO Mark Zuckerberg to issue him sellable non-voting shares to cover potential multibillion-dollar tax liabilities if California's wealth tax proposal is passed. In return, Zuckerberg has committed to residing in California or the location of Meta's headquarters for eight years. Previously, Zuckerberg indicated that he might consider leaving California if Proposition 40 (a proposal to impose a one-time 5% wealth tax on California billionaires, set for a vote next month) is approved. With a net worth of approximately $240 billion, Zuckerberg would be able to immediately sell 20% of the Class C shares he receives, equivalent to 10% of his economic interest in the company, while retaining voting control. Meta plans to issue new non-voting Class C common stock in January 2027, effectively resulting in a 2-for-1 stock split.
