[Meta to Issue Non-Voting Class C Shares, Shareholders to Receive 1 Share for Every 1 Held] According to an official announcement from Meta, the Meta Board of Directors has approved the establishment of publicly traded non-voting Class C common shares. The related charter amendment has received written shareholder consent and will take effect on January 19, 2027. Meta will distribute Class C shares to Class A and Class B shareholders on a one-for-one basis as a one-time stock dividend. The record date and distribution date will be determined by the Board of Directors. After the distribution, the stock price of Class A shares is expected to reflect a 2-for-1 split effect. Previously, media outlets such as CoinDesk reported that this arrangement aims to raise funds for AI expansion while maintaining Zuckerberg's control over the company. Meta has also signed a Founder Alignment Agreement with CEO Zuckerberg, outlining terms related to the sale of Class C shares he receives, his tenure, and future Class C share dividends.
