《Meng Yan: Ten Questions and Answers on SEC Regulation Crypto Assets Proposal》
The SEC Regulation Crypto Assets proposal is currently in the public comment phase, which will end on October 20. If it progresses smoothly, it could be implemented in the first half of 2027. The proposal plans to allow Tier 1 and Tier 2 projects to calculate funding caps on a rolling 12-month basis, with limits set at $20 million and $75 million respectively. Non-accredited investors can also participate, but their investment amount cannot exceed 10% of the higher of their net assets or annual income. Investors are allowed to exit, but the exit amount cannot exceed 30% of the total funding raised in the current round.
The proposal does not specify the maximum duration for projects under the Startup exemption and Fundraising exemption statuses, nor does it mention the restriction that no party may hold more than 20% of token equity upon project exit. In case of conflict with the Clarity Act, the Clarity Act will take precedence.
Meng Yan believes this proposal is essentially allowing compliant ICOs but may introduce new speculative risks. Mainland Chinese startups cannot participate, and overseas Chinese must comply with local laws and regulations.
