[South Korean Lawmakers Seek M&A Reforms to Protect Minority Shareholders' Rights]
Reported by Jinse Finance, lawmakers from South Korea's ruling party have proposed expanding information disclosure requirements for corporate acquisitions. This marks the latest effort by South Korea to strengthen protections for small and medium shareholders and address the long-standing issue of valuation discounts in the country's stock market. Oh Gi Hyoung, a lawmaker from the Democratic Party of Korea, along with 11 other lawmakers, has introduced a bill to amend the Capital Markets Act, aiming to adjust M&A rules involving listed companies. He currently leads a special committee dedicated to resolving the so-called 'Korea Discount' issue. His office stated in a Thursday announcement that the proposed amendments have been officially submitted.
According to the statement, the amendments would require the board of directors of the target company to publicly disclose independent opinions regarding the acquisition offer, including whether the offer aligns with the interests of all shareholders. The amendments would also expand the scope of mandatory information disclosure, which currently only covers matters affecting company assets or management, to include corporate decisions that significantly impact shareholder interests. Under this revision, any M&A plans that could affect shareholder interests would also be subject to mandatory disclosure requirements. (Jin10)
