Robinhood seeks SEC approval for a venture capital fund aimed at retail investors.

The brokerage firm Robinhood is planning a closed-end fund that will allow retail investors access to its venture capital portfolio—a field traditionally limited to institutions and high-net-worth individuals.

The brokerage disclosed on Monday that it has submitted Form N-2 to the U.S. Securities and Exchange Commission (SEC) to register shares of Robinhood Ventures Fund I (RVI), which will be managed by its new subsidiary, Robinhood Ventures DE.

If approved, RVI shares will be listed on the New York Stock Exchange and can be bought and sold through participating brokerage platforms.

Robinhood stated that the fund will support companies at the "forefront of their respective industries," but did not specify particular sectors. Venture capital funds typically focus on high-growth areas such as emerging technologies, blockchain, and Web3.

Opening these investments to retail investors would mark a shift in access thresholds. So far, participation in early-stage private company investments has primarily been limited to venture capital firms and wealthy backers.

Robinhood's venture capital strategy may extend into the digital asset space, an area the company has been actively expanding. It has offered cryptocurrency trading, recently acquired the major exchange Bitstamp, and purchased the Canadian crypto company WonderFi for $179 million.

The brokerage is also venturing into tokenization, offering tokenized stocks and experimenting with "private stock tokens"—a product that has drawn attention from some industry observers.

Venture capital funding rebounded in 2025, primarily driven by a surge in U.S. startups focused on artificial intelligence. According to S&P Global data, global venture capital totaled $189.3 billion in the first half of the year, up from $152.4 billion in the same period of 2024.

While crypto venture capital still represents a small portion of the overall venture capital landscape, the sector attracted $10 billion in the second quarter alone—its strongest performance since 2022, according to CryptoRank data. Companies raised over $10 billion in the second quarter, with June contributing more than half of that amount.

Key themes driving crypto investment include tokenization, stablecoin infrastructure, and decentralized finance. Under U.S. securities laws, many of these early private offerings remain limited to accredited investors, restricting retail participation.

If approved, Robinhood's proposed venture capital fund could provide retail investors with an indirect way to access an asset class from which they have largely been excluded.
